2. Eligibility
2.1 Minimum Age
You must be at least 13 years of age to access or use the Service. If you are under 18 years of age, you represent and warrant that your parent or guardian has reviewed and agreed to these Terms. A parent or guardian who permits a minor to use the Service is responsible for that minor's use of the Service.
2.2 Other Conditions
You may not access or use the Service if (a) we have previously terminated an Account of yours for a breach of these Terms or the Community Guidelines; (b) you are prohibited from receiving or using the Service under the laws of the United States or any other applicable jurisdiction; or (c) you are subject to any of the restrictions described in Section 26.1.
2.3 Territory
The Service is offered in the United States only. We make no representation that the Service is appropriate or available for use in any other location. If you access the Service from outside the United States, you do so on your own initiative and are responsible for compliance with local law.
3. Accounts and Security
3.1 Registration
You create an Account by signing in with your Google account. You accept these Terms when you create your Account, and before you can post any User Content. You agree to provide accurate, current and complete information, including your date of birth, and to keep that information accurate.
3.2 Security
You are responsible for all activity that occurs under your Account and for maintaining the security of the Google account you use to sign in. You must notify us promptly at support@resonantmusic.co if you believe that your Account has been accessed or used without your authorization. We are not liable for any loss arising from unauthorized use of your Account that results from your failure to keep your credentials secure.
3.3 Personal Account
Your Account is personal to you. You may not sell, rent, share, transfer or assign your Account, or permit any other person to use it.
3.4 Names and Handles
You may not select a name or handle that is intended or likely to mislead others as to your identity, that impersonates another person or entity, or that otherwise breaches these Terms. We may reclaim or change a name or handle that does so.
4. The Service
The Service is a music platform. Through it, users may stream music, watch Pulses and Stories, like and save Content, follow Artists and other users, create public or private playlists, comment on and react at moments in a track, and search the Service. Artists may also upload and publish tracks and releases with cover art, Pulses and Stories. The availability of particular features may change as described in Section 16.
5. License to Use the Service
5.1 Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable, personal license to access and use the Service, and to stream and view Content through the Service, solely for your own personal and non-commercial purposes. This license also permits you to install and use the App on devices that you own or control, subject, in the case of the Apple App Store, to Section 25.
5.2 Reservation of Rights
The Service, the App, and the Resonant name, logos, trademarks and other brand features are owned by Resonant or its licensors and are protected by intellectual property laws. Content is owned by the persons who created it or who hold the rights in it. Except for the license expressly granted in Section 5.1, these Terms grant you no right, title or interest in the Service or in any Content, and all rights not expressly granted are reserved.
6. Restrictions
You agree that you will not, and will not attempt to, and will not permit or assist any other person to, do any of the following. Paragraphs (a), (h) and (i) do not restrict what you do with your own User Content outside the Service.
- copy, download, record, rip, stream-rip, capture, reproduce, redistribute, publicly perform, broadcast or otherwise make available any Content outside the Service, except where the Service itself expressly provides a feature for doing so;
- access the Service, or collect any Content or data from it, by any automated means, including bots, spiders, crawlers, scrapers or scripts, other than through interfaces we expressly make available for that purpose;
- reverse engineer, decompile, disassemble, decrypt or otherwise attempt to derive the source code of the App or any part of the Service, except to the extent that applicable law expressly permits this notwithstanding this restriction;
- circumvent, disable or interfere with any security feature, digital rights management, access control, rate limit or other technical measure that protects the Service or any Content;
- interfere with or disrupt the Service, its servers or its networks, including by introducing malware, overloading the Service, or probing, scanning or testing the vulnerability of any system without our written authorization;
- artificially inflate or manipulate plays, listens, views, likes, follows, comments, reactions or any other metric or engagement, whether by bots, scripts, paid services, arrangements to exchange engagement, or accounts whose purpose is to boost Content or another user;
- buy, sell, rent, transfer or offer to transfer any Account, name or handle;
- use the Service or any Content for any commercial purpose, including advertising, sponsorship or resale, unless we have authorized that use in writing;
- use any Content obtained through the Service to train, fine-tune, test or otherwise develop any artificial intelligence or machine learning model or system;
- modify, adapt, translate or create derivative works of the App or the Service;
- impersonate any person or entity, or misrepresent your identity or your affiliation with any person or entity;
- evade a block, suspension or termination, including by creating another Account;
- remove, obscure or alter any copyright, trademark or other proprietary notice in the Service or in any Content; or
- use the Service in breach of any applicable law or regulation, these Terms or the Community Guidelines.
7. User Content
7.1 Ownership
As between you and Resonant, you retain all ownership rights you hold in the User Content you upload, post or otherwise make available through the Service. Resonant does not claim ownership of your User Content.
7.2 License to Resonant
You grant Resonant a worldwide, non-exclusive, royalty-free license to host, store, transcode, stream, display and distribute your User Content within the Service and its features. This license includes the right to display your User Content in other users' playlists, to enable other users to share it within the Service, and to analyze audio in your User Content to provide recommendations and search. Resonant will exercise this license only to operate, secure and improve the Service.
7.3 License to Other Users
You grant each other user of the Service a non-exclusive, royalty-free license to stream, view and share your User Content within the Service, solely through the features of the Service and subject to these Terms. This license does not permit any use of your User Content outside the Service.
7.4 Duration of the Licenses
The licenses in Sections 7.2 and 7.3 end, for each item of User Content, when that item is deleted from the Service, whether you delete the item or delete your Account. Copies of deleted User Content may remain in backups and caches for up to ninety (90) days after deletion, and Resonant's license continues for that period solely to the extent necessary to retain those copies until they are cleared. Comments and reactions are deleted when the Account that posted them is deleted, and when the Content on which they were posted is deleted.
7.5 Artificial Intelligence
Resonant will not use your User Content to train any artificial intelligence or machine learning model that generates music or that imitates an Artist's voice or likeness, unless the Artist concerned has expressly opted in. Resonant will use artificial intelligence and machine learning on User Content only to (a) recommend music and videos; (b) provide search; and (c) keep the Service safe, including to moderate Content, to detect fraudulent or artificial plays, and to identify copyrighted audio.
7.6 Your Representations and Warranties
Each time you upload, post or otherwise make available any User Content, you represent and warrant to Resonant that:
- you own, or have obtained all licenses, rights, consents and permissions necessary for, the User Content and for the licenses you grant in these Terms, including the rights in each sound recording (master) and in each musical work (composition) embodied in it;
- every sample, interpolation and cover version of another person's work contained in the User Content has been cleared with, or licensed by, each person whose authorization is required;
- every performer whose performance is embodied in the User Content, including featured artists and session musicians, has consented to its being made available through the Service;
- every identifiable person who appears or is heard in the User Content has consented to that appearance and to its being made available through the Service, and no right of publicity or privacy of any person is violated by it;
- the User Content does not contain any imitation of a real person's voice or likeness that was generated or altered by artificial intelligence, unless that person has consented to it;
- the User Content, and Resonant's exercise of the licenses you grant in these Terms, do not and will not infringe, misappropriate or violate any copyright, trademark, right of publicity, right of privacy or other right of any person; and
- the User Content complies with these Terms, the Community Guidelines and all applicable laws.
7.7 Rights Confirmation
When you publish a track or release, the App asks you to confirm that you hold the rights described in Section 7.6, and Resonant keeps a record of that confirmation. The confirmation does not limit the representations and warranties you give in Section 7.6.
7.8 No Obligation to Monitor
Resonant does not review all User Content before it is made available and has no obligation to monitor User Content. Each user is solely responsible for the User Content that user makes available. Resonant does not endorse any User Content and is not responsible for it, although Resonant acts on User Content that it identifies or that is reported to it as described in Section 10.
7.9 Our Right to Remove
Resonant may remove, disable access to or restrict the visibility of any User Content, at any time and without prior notice, if Resonant reasonably believes that the User Content breaches these Terms or the Community Guidelines, infringes the rights of any person, exposes Resonant or any user to legal liability or harm, or must be removed under applicable law.
8. Feedback
If you send us any idea, suggestion, comment or other feedback about the Service ("Feedback"), you grant Resonant a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use, reproduce, modify and otherwise exploit that Feedback for any purpose, without any obligation of attribution or compensation to you. Feedback does not include User Content, which is governed by Section 7.
9. Prohibited Content and Conduct
9.1 Zero Tolerance
Resonant has zero tolerance for objectionable content and abusive users. If you post objectionable content, or if you abuse, harass or threaten any other user, Resonant will remove the content concerned and will terminate your Account, and may do so without prior notice.
9.2 Objectionable Content
For the purposes of these Terms, "objectionable content" means Content that contains or consists of:
- nudity, sexual acts or other sexually explicit material;
- any sexual content involving, or any sexualization of, a minor;
- harassment or bullying of any person;
- hateful content that attacks or demeans persons on the basis of a protected characteristic, as further described in the Community Guidelines;
- violence, threats of violence, or support for violent attacks or terrorist organizations;
- content that encourages, promotes or instructs self-harm or suicide; or
- content that offers, promotes or facilitates illegal goods, services or activities.
9.3 Community Guidelines
The Community Guidelines describe each category of objectionable content in further detail, and also prohibit spam and scams, impersonation, fake plays and follows, copyright infringement, violations of others' privacy, and misleading content. If you breach the Community Guidelines, Resonant may remove the Content concerned and, depending on the nature, severity and frequency of the breach, suspend or terminate your Account.
10. Reporting, Blocking and Enforcement
10.1 Reporting
You may report a profile, Artist, release, track, Pulse, Story, playlist or comment from its menu in the App. Only Resonant's moderators see reports, and Resonant does not tell the reported user who made the report.
10.2 Blocking
You may block another user from that user's profile. Once you block a user, neither of you will see the other's Content in the Service, and the blocked user is not notified of the block.
10.3 Enforcement
Resonant reviews reports promptly. Where Resonant determines that Content or conduct breaches these Terms or the Community Guidelines, Resonant may remove the Content and, depending on the nature, severity and frequency of the breach, suspend the Account for a period or terminate it, subject in all cases to Section 9.1.
10.4 Review of Decisions
If you believe that Resonant has removed your Content or acted on your Account in error, you may request a review by email to support@resonantmusic.co, sent from the email address associated with your Account. A member of Resonant's staff will review the decision and respond. If Resonant determines that the decision was made in error, Resonant will restore the Content or the Account.
10.5 Law Enforcement
Resonant will report Content or conduct to law enforcement or other competent authorities where the law requires it or where Resonant believes in good faith that a person's safety is at risk.
11. Copyright
Resonant respects the intellectual property rights of others and responds to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act, 17 U.S.C. §512. The Copyright Policy, which forms part of these Terms, sets out how to submit a notice of claimed infringement to Resonant's designated agent, how a user whose Content has been removed may submit a counter-notification, and how Resonant handles each. Resonant terminates, in appropriate circumstances, the Accounts of users who are repeat infringers.
12. Advertising
The Service is supported by advertising, which is delivered through Google AdMob. The Privacy Policy explains how advertising in the Service works and how you may turn off personalized advertising. Resonant will not use your name, likeness, profile picture, likes, follows or other activity in connection with any advertisement or promoted Content. Resonant does not accept payment for the ranking, placement or recommendation of any Artist or Content.
Your public activity in the Service, such as your profile, likes, follows and comments, is visible to other users as described in the Privacy Policy.
13. Third-Party Services
The Service relies on, and may link to, services provided by third parties, including sign-in through Google, advertising delivered through Google AdMob, and distribution of the App through the Apple App Store and Google Play. Your use of a third-party service is governed by that third party's own terms and privacy policy, and Resonant is not a party to them. Resonant does not control and is not responsible for any third-party service, or for any website or material to which the Service links.
14. Artists and Payouts
Resonant intends to pay Artists for listens. Payouts are not currently available. When Resonant introduces them, they will be governed by the Artist Terms, which an Artist must accept in order to receive any payment. Until the Artist Terms take effect and an Artist has accepted them, no payment, royalty or other compensation accrues to any Artist or other user for any User Content or for any use of it under these Terms.
15. Fees
The Service is currently provided free of charge, and it offers no subscriptions or purchases. Resonant may introduce paid features in the future. Resonant will give you notice before any paid feature becomes available, and any paid feature will be subject to separate terms that you must accept before you are charged.
16. Changes to the Service
Resonant may add, change, suspend or discontinue any feature of the Service, or the Service as a whole, at any time. Where a change materially reduces your use of the Service, Resonant will endeavor to notify you in the App before the change takes effect. If Resonant decides to discontinue the Service as a whole, Resonant will notify you before it does so.
17. Term and Termination
17.1 Term
These Terms apply from the time you first access or use the Service and continue until terminated as described in this Section 17.
17.2 Termination by You
You may terminate these Terms at any time by deleting your Account in the App. Delete account explains how, and what is deleted and what is retained.
17.3 Termination by Us
Resonant may suspend or terminate your Account, and your access to all or part of the Service, if (a) you breach these Terms or the Community Guidelines; (b) Resonant is required to do so by law or by a court or other competent authority; (c) Resonant reasonably believes that your Account or your use of the Service creates a risk of harm or legal liability for other users, third parties or Resonant; or (d) Resonant discontinues the Service. In the case of a serious breach, including any breach described in Section 9.1, Resonant may act without prior notice.
17.4 Effect of Termination
On termination, the license granted to you in Section 5.1 ends and you must stop using the Service. User Content associated with your Account is deleted as described in Section 7.4 and on the Delete account page. If Resonant terminates your Account for a breach of these Terms or the Community Guidelines, you may not create a new Account.
17.5 Survival
Sections 1, 5.2, 7.4, 7.6, 8, 17.4, 17.5, 18, 19, 20, 21, 24 and 26, and any other provision that by its nature is intended to survive, survive the termination of these Terms.
18. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. RESONANT EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, RESONANT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR FREE OF ERRORS OR HARMFUL COMPONENTS, THAT ANY DEFECT WILL BE CORRECTED, OR THAT ANY CONTENT WILL REMAIN AVAILABLE. CONTENT IS PROVIDED BY THE USERS WHO MAKE IT AVAILABLE, AND RESONANT DOES NOT ENDORSE, AND MAKES NO WARRANTY REGARDING, ANY USER CONTENT.
SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
19. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL RESONANT, OR ITS OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR ACCESS TO OR USE OF, OR INABILITY TO USE, THE SERVICE OR ANY CONTENT, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER LEGAL THEORY, AND EVEN IF RESONANT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RESONANT'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE WILL NOT EXCEED ONE HUNDRED US DOLLARS (US $100).
THE LIMITATIONS IN THIS SECTION 19 DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR FRAUD, OR FOR DEATH OR PERSONAL INJURY CAUSED BY RESONANT'S NEGLIGENCE. SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
20. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Resonant and its officers, directors, employees and agents from and against any claim, demand, action or proceeding brought by a third party, and any resulting loss, liability, damage, judgment, settlement, cost or expense (including reasonable attorneys' fees), arising out of or relating to (a) your User Content; (b) your breach of these Terms or the Community Guidelines; or (c) your violation of any applicable law or of the rights of any third party.
Resonant will notify you of any claim for which it seeks indemnification. Resonant may assume the exclusive defense and control of any such claim, in which case you agree to cooperate with Resonant's defense. You may not settle any such claim without Resonant's prior written consent.
21. Dispute Resolution and Governing Law
21.1 Informal Resolution
Before either party files a claim in court, that party must first send the other a written notice describing the dispute and the relief sought. Your notice must be sent to support@resonantmusic.co and must include your name and the email address associated with your Account. The parties will attempt in good faith to resolve the dispute informally for thirty (30) days after the notice is received. If the dispute is not resolved within that period, either party may commence proceedings in accordance with Section 21.3. This Section 21.1 does not prevent either party from seeking urgent injunctive relief to prevent irreparable harm.
21.2 Governing Law
These Terms, and any dispute arising out of or relating to them or to the Service, are governed by the laws of the State of Maine, without regard to its conflict-of-laws principles.
21.3 Venue
Any action or proceeding arising out of or relating to these Terms or the Service will be brought exclusively in the state and federal courts located in the State of Maine, and you and Resonant each consent to the personal jurisdiction of those courts and waive any objection to venue there. Disputes are resolved in court; these Terms do not require arbitration.
21.4 Consumer Protection Rights
Nothing in this Section 21 deprives you of any right or protection you have under the consumer protection laws of the state in which you reside that cannot be waived by contract.
22. Changes to These Terms
Resonant may amend these Terms from time to time. When it does, Resonant will post the amended Terms at this address and update the date at the top. If an amendment is material, Resonant will also notify you in the App before the amendment takes effect. Your continued use of the Service after an amendment takes effect constitutes your acceptance of the amended Terms. If you do not agree to an amendment, you must stop using the Service and may delete your Account.
23. Electronic Communications
By using the Service, you consent to receive communications from Resonant electronically, including through the App and by email to the address associated with your Account. You agree that all agreements, notices, disclosures and other communications that Resonant provides to you electronically satisfy any legal requirement that such communications be in writing.
24. Notices
Notices to Resonant under these Terms must be sent by email to support@resonantmusic.co, except that notices of claimed copyright infringement and counter-notifications must be sent as described in the Copyright Policy. Resonant may give notices to you through the App or by email to the address associated with your Account. A notice sent by email is given on the day it is sent, and a notice given through the App is given when it is first displayed to you.
25. Apple App Store
This Section 25 applies if you obtained the App from the Apple App Store. If it conflicts with any other provision of these Terms, this Section 25 prevails with respect to the App as obtained from the Apple App Store.
25.1 Parties
These Terms are concluded between you and Resonant only, and not with Apple Inc. ("Apple"). Resonant, not Apple, is solely responsible for the App and its content.
25.2 Scope of License
The license granted to you for the App is limited to a non-transferable license to use the App on Apple-branded products that you own or control, as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions, except that the App may also be accessed and used by other accounts associated with you through Family Sharing.
25.3 Maintenance and Support
Resonant is solely responsible for providing any maintenance and support services for the App, as described in these Terms or as required by applicable law. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.
25.4 Warranty
Resonant is solely responsible for any product warranty, whether express or implied by law, to the extent not effectively disclaimed under Section 18. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, that you paid for the App; because the App is free, that amount is zero. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the App, and any other claim, loss, liability, damage, cost or expense attributable to any failure to conform to a warranty is Resonant's sole responsibility, to the extent not disclaimed under these Terms.
25.5 Product Claims
Resonant, not Apple, is responsible for addressing any claim by you or any third party relating to the App or your possession or use of it, including (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy or similar legislation. Section 19 applies to such claims to the extent permitted by applicable law.
25.6 Intellectual Property Claims
If any third party claims that the App, or your possession and use of it, infringes that third party's intellectual property rights, Resonant, not Apple, is solely responsible for the investigation, defense, settlement and discharge of that claim.
25.7 Legal Compliance
You represent and warrant that (a) you are not located in a country that is subject to a United States Government embargo, or that has been designated by the United States Government as a "terrorist supporting" country; and (b) you are not listed on any United States Government list of prohibited or restricted parties.
25.8 Developer Name and Address
Questions, complaints and claims relating to the App should be directed to Resonant Music Inc. by email to support@resonantmusic.co.
25.9 Third-Party Terms
You must comply with any applicable third-party terms of agreement when using the App, such as the terms of your wireless carrier or internet service provider.
25.10 Third-Party Beneficiary
Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right, and will be deemed to have accepted the right, to enforce these Terms against you as a third-party beneficiary.
26. General Provisions
26.1 Export Controls and Sanctions
You may not access, use, export or re-export the Service except as authorized by United States law and the laws of the jurisdiction in which you obtained it. You represent and warrant that you are not located in any country or region subject to comprehensive United States sanctions, and that you are not a person with whom United States persons are prohibited from dealing, including any person on a list of prohibited or restricted parties maintained by the United States Government.
26.2 Force Majeure
Resonant is not liable for any delay or failure to perform under these Terms caused by events beyond its reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, labor disputes, governmental action, and failures of utilities, telecommunications networks, hosting providers or other third-party services.
26.3 Assignment
You may not assign or transfer these Terms, or any of your rights or obligations under them, without Resonant's prior written consent, and any purported assignment in breach of this Section is void. Resonant may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, reorganization or sale of all or substantially all of its assets or of the business to which these Terms relate.
26.4 Severability
If a court of competent jurisdiction holds any provision of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
26.5 No Waiver
Resonant's failure or delay in exercising or enforcing any right or provision of these Terms is not a waiver of that right or provision. A waiver is effective only if it is in writing and signed by Resonant.
26.6 Entire Agreement
These Terms, together with the Privacy Policy, the Community Guidelines and the Copyright Policy, constitute the entire agreement between you and Resonant concerning the Service and supersede all prior and contemporaneous agreements, proposals and representations, whether written or oral, concerning that subject matter.
26.7 Headings and Interpretation
Headings in these Terms are for convenience only and do not affect their interpretation. The words "include", "includes" and "including" are deemed to be followed by "without limitation".
26.8 No Third-Party Beneficiaries
Except as provided in Section 25.10, these Terms do not confer any right or remedy on any person other than you and Resonant.
26.9 Relationship of the Parties
You and Resonant are independent contractors. Nothing in these Terms creates any partnership, joint venture, employment, fiduciary or agency relationship between you and Resonant, and neither party has authority to bind the other.
27. Contact
Questions about these Terms may be directed to Resonant Music Inc. at support@resonantmusic.co.
